1. Introduction

1.1 www.ontheAlist.tv (the "Site") is operated by Talented People TV Ltd which is registered in England and Wales with the registered number 10858921and has its registered office at 1 Tower House, Tower Centre, Hoddesdon, Hertfordshire. All references to "www.ontheAlist.tv", "The A List" or to "Talented People" within these terms and conditions (the "Terms and Conditions") shall mean Talented People TV Ltd.

1.2 These Terms and Conditions should be read in conjunction with The A List Privacy Policy (which can be found here). Together, the Terms and Conditions and Privacy Policy constitute the "User Agreement" which sets out the legally binding terms and conditions that apply to your use of the Site and the services available on the Site. By registering as a user of and/or accessing or using the Site, you are deemed to have read, understood and accepted the User Agreement and are bound by the terms contained therein. If you do not agree to the User Agreement in its entirety, please do not use or access the Site.

1.3 We reserve the right to change any term or condition of the User Agreement at any time. Changes will take effect when posted on the Site. Whilst we will endeavour (but do not undertake) to inform users of any substantive changes, your continued use of the Site and/or Services after such changes have taken effect will be deemed acceptance by you of the amended User Agreement.

2. Services

2.1 The Site is an online platform providing a curated database of vetted senior freelancers ("The Services") to corporate entities looking to hire freelance talent ("Subscribers") in the television, film, and content production sector (the "Industry").

The A List Members are hand-selected and vetted freelancers whose profiles are displayed on the platform for Subscribers to view and contact directly.

2.2 The Site provides Subscribers with access to:

Profiles of vetted A List Members including contact details, skills, experience, and portfolio samples
Search and filtering functionality to find suitable freelancers
Direct contact information for A List Members

2.3 A List Members maintain their own separate community platform outside of this Site, and are not users of this Site. All interactions between Subscribers and A List Members occur directly between those parties.

2.4 We reserve the right to improve, amend, or suspend the Service provided on the Site at any time without notice.

3. Registration

3.1 You may register on the Site to use the Services as a Subscriber by completing and submitting the form on our "registration" page. You must be at least 18 (eighteen) years of age to register on the Site and use the Services. You must only register one account on the Site and you are not permitted to register if your account has been previously terminated, or is currently suspended, further to clause 6 below. Creating or registering multiple accounts will be a breach of this User Agreement. Those who register with the Site are hereinafter referred to as "Subscribers".

3.2 When you register with us you will be provided with login credentials. You will use your email address and password ("User ID") to log in to your account and access the Services on the Site. Company Subscribers may purchase multiple user accounts to enable different team members within the company to access the Services.

3.3 You should make every effort to keep your User ID safe and you are responsible for all actions taken with your User ID. It should not be disclosed to any other person except where multiple user accounts have been purchased for your organisation. Unless authorised under the procedures set out on the Site, you must not transfer or sell your User ID. If you lose control of your password, you may lose substantial control over your account and may subsequently be subject to legally binding actions taken on your behalf. You shall be responsible for all activities occurring through your account until your account is closed or you prove that your account security was compromised through no fault of your own.

3.4 You may not register on the Site or use the Services unless you are 18 (eighteen) years old. Company Subscribers must not authorise anyone below the age of 18 to use the Site or Services. We may use your registration details to verify your identity and entitlement to use the Site and the Services.

3.5 You are solely responsible and liable for providing accurate and truthful registration details. The A List does not and cannot confirm or guarantee the purported identity of Subscribers and accepts no liability or responsibility to A List Members in respect thereof.

3.6 If you register as a corporate entity, you represent that you have the authority to bind that entity to this User Agreement.

3.7 All Subscribers are required to pay a subscription fee to access the Services.

4. Access and Fees

4.1 Use of the Site requires a paid subscription. You are solely responsible for paying all expenses you may incur when you access or use the Site and Services including without limitation your internet or data service provider charges and any excess charges to that provider if you have a limit on the amount of data you can download together with all costs of the equipment and facilities you need to connect to and use the Site. We are not responsible if your own equipment or software is not compatible with the Site.

4.2 Subscription fees are charged for access to the Services. The price of the various subscription options is listed where appropriate on the Site, and Subscribers will have the opportunity to view and confirm applicable fees before committing to payment. Subscriptions are offered on a three monthly or yearly basis. We must receive payment of the subscription fee before the Services are available to you.

4.3 You can make secure payment for subscription fees via the Site. Payment can be made via Stripe payable to Talented People TV Ltd. We are not liable for any error or omission on the part of Stripe. Any dispute with regard to the payment of fees should be reported at hello@onthealist.tv and The A List will endeavour to achieve a fair resolution.

4.4 We reserve the right to refuse any subscription application, to alter the fee structure and/or to commence or cease charging for any of our Services at any time at our discretion. In the event that we reject a subscription application after we have received the subscription fee we shall refund the fee within fourteen (14) days from the rejection date. If any change is made to the subscription fee levels, payment structure and/or process, Subscribers will be informed by email and any such change will not affect existing subscriptions until the completion of the subscription period that they have paid for.

4.5 In the event of payment being made to Talented People TV Ltd by fraud or unauthorised use of a credit or debit card, Talented People TV Ltd will cease to collect payments from that card as soon as reasonably practicable. Talented People TV Ltd will not be liable to return funds that have been paid before the date it is made aware of the alleged fraudulent use of the card, although Talented People TV Ltd may, at its discretion, return payment to the person entitled thereto.

4.6 Subscription accounts will renew automatically on the renewal date unless you choose to cancel your subscription and we shall be entitled to charge the then prevailing rate for each new period.

5. Copyright

5.1 All copyright, trademarks and other intellectual property rights in the Services are vested in Talented People TV Ltd or its licensees. You may not copy, reproduce, store off-Site, modify in any way or transmit, distribute or make available to the public any material included on the Site and any other use requires the prior written consent of Talented People TV Ltd. You must always treat materials included on the Site in compliance with your obligations under this User Agreement and all applicable laws (including, for the avoidance of doubt Data Protection Legislation). Nothing set out in these terms and conditions shall be construed as granting any licence of any copyright, trademarks or other intellectual property to you or any third party.

5.2 A List Member profiles, including text, artwork, photographs, and portfolio samples, remain the intellectual property of the respective A List Members. By accessing these profiles, you acknowledge that you are viewing them solely for the purpose of potential freelance engagement and you may not use, reproduce, or distribute this content for any other purpose.

6. Termination

Without limiting other remedies, we reserve the right to terminate, suspend or restrict your account without notice if:

(a) You commit any breach of the User Agreement or we believe that you may commit a breach of the User Agreement;

(b) You are/have engaged in, are about to engage in, or have been in any way involved in or linked to, fraudulent activity in connection with the Site;

(d) We believe that your actions with regard to the Site may cause us financial loss or legal liability or damage our goodwill or bring us into disrepute or infringe any third party rights; or

(e) You misuse A List Member information or contact details in breach of clause 7.

7. Subscriber Responsibilities

7.1 As a Subscriber, you are solely responsible for your use of the Site and the information obtained from A List Member profiles.

7.2 You agree that you will only use A List Member information and contact details for legitimate freelance recruitment purposes within the Industry. You must not:

a) Use A List Member information for any purpose other than potential freelance engagement;

b) Share, sell, or distribute A List Member contact details or profile information to third parties;

c) Store A List Member information beyond what is reasonably necessary for the recruitment process;

d) Contact A List Members for purposes unrelated to legitimate freelance opportunities;

e) Harass, spam, or otherwise inappropriately contact A List Members;

f) Extract, scrape, or systematically download A List Member data; or

g) Use the information in any way that would breach data protection laws.

7.3 You must not use the Site or the Services in any way:

(i) That causes, or is likely to cause, the Site or Services (or access thereto) to be interrupted, damaged or impaired;

(ii) For any fraudulent purposes, or in connection with a criminal offence or other unlawful activity;

(iii) To send or disseminate data, material or content which consists of or contains software viruses, macro viruses, trojan horses, worms, "spam" or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of the Site or Services;

(iv) For the purposes of political campaigning, commercial solicitation, chain letters or mass mailings;

(v) Which may disrupt The A List community or cause problems for A List Members;

(vi) Which could cause Talented People TV Ltd to violate any law, code or regulation;

(vii) To charge other parties for access to A List Member information.

7.4 You warrant that you shall only use information on the Site in accordance with data protection, privacy and all other applicable laws, codes and regulations. You will process A List Member information only for as long as is reasonably required for legitimate recruitment purposes.

7.5 You must respond promptly to any request from an A List Member to update, correct, or remove their information from your records.

8. Engagements

8.1 Subscribers acknowledge that there is no legal obligation on A List Members to respond to or accept any offer of engagement. Your use of the Site does not guarantee that any A List Member will be available for or accept any role you may offer.

8.2 Once you contact an A List Member directly using the information from their profile, any subsequent communication, negotiation, and contractual arrangement will be directly between you and that A List Member. The A List will not be a party to any agreements entered into between Subscribers and A List Members.

8.3 Subscribers must ensure that any opportunities offered to A List Members are legitimate, properly funded, and comply with all applicable employment and industry regulations.

9. Liability and Indemnity

9.1 The Site and the Services are provided on an 'as is' and 'as available' basis. We do not guarantee that the Site and/or Services will operate efficiently or be free from errors or omissions nor that it will be available uninterrupted and in a fully operating condition.

9.2 The Site and/or Services may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons reasonably beyond our control. We will not be liable to you or to any other person in the event that all or any part of the Site and/or Services are suspended, discontinued, modified or changed in any way.

9.3 To the extent that we are able by law, we exclude liability for any direct, indirect or consequential loss or damage incurred by you or any third party (whether foreseeable or otherwise) in connection with the Service or its use, including, without limitation, loss of data, income, opportunity, goodwill or reputation. We do not accept any liability for misuse of A List Member information. We accept no responsibility for any errors, omissions, or inaccurate content.

9.4 We are not responsible, nor accept any liability for any loss or damage suffered by you as a result of your decision to contact or engage with any A List Member. You specifically acknowledge that once you contact an A List Member directly, any subsequent interactions are between you and them directly.

9.5 We process all information in accordance with our obligations and The A List Privacy Policy. In any event, to the extent permitted by law, our liability to you shall be limited to the cumulative total of subscription fees paid by you to Talented People TV Ltd.

9.6 All complaints or disputes between you and The A List regarding the Site and/or the Services must be reported to The A List at hello@onthealist.tv. The A List seeks to resolve disputes with its Subscribers fairly and within a reasonable time frame, but will have no liability if a resolution is not reached. However, The A List is not responsible for dealing with disputes between Subscribers and A List Members, which must be resolved between the parties concerned.

9.7 You hereby agree to indemnify and hold us and our officers, directors, agents, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of this User Agreement or your misuse of A List Member information or violation of any law, code or regulations including without limitation data protection legislation.

10. Data Protection

10.1 For the purpose of this clause, the following terms shall have the meanings set out in applicable Data Protection Legislation:

Data Controller, Data Processor, Data Subject, Personal Data, and Processing shall have the meanings set out in the General Data Protection Regulation (GDPR) and other applicable data protection legislation.

Data Protection Legislation means the GDPR and all related legislation which relates to the protection of individual's rights in their Personal Data and the protection of their privacy.

10.2 You agree that for the purposes of Data Protection Legislation, Talented People TV Ltd shall be Data Controller in respect of any Personal Data which you may share or transfer to us in accordance with the User Agreement.

10.3 You agree that when you access A List Member information, you become a Data Controller in respect of that Personal Data. You represent and warrant that you will process such Personal Data only for legitimate recruitment purposes and in compliance with all applicable Data Protection Legislation.

10.4 You warrant that you will:

Process A List Member Personal Data only for the purposes of recruitment and freelance engagement;
Not retain Personal Data longer than necessary for legitimate recruitment purposes;
Implement appropriate security measures to protect Personal Data;
Respond promptly to any requests from A List Members regarding their Personal Data;
Not transfer Personal Data to third parties without appropriate legal basis.

10.5 Each party warrants that it will Process Personal Data in compliance with all applicable Data Protection Legislation and will take appropriate technical and organisational measures to secure relevant Personal Data.

10.6 We use third-party recruitment management systems, including JobAdder, to store and process A List Member information. By becoming an A List Member, candidates consent to their information being processed through these systems in accordance with our Privacy Policy and the respective third-party privacy policies. We maintain appropriate data processing agreements with all third-party processors to ensure GDPR compliance.

11. Notices

Unless otherwise stated, notices to The A List should be sent by email to hello@onthealist.tv. Notices to you will be sent to the email address provided by you during the registration process. Receipt of notices sent by email is deemed 48 hours after notification is sent.

12. Confidentiality

You will not without our prior written consent disclose, publish or discuss with any third party any information which may come to your attention relating to the business of Talented People TV Ltd, its trade secrets, technical or financial data or any other confidential or proprietary information, documentation or material used or owned by Talented People TV Ltd or relating to the Site and/or Services other than where such information is already in the public domain or is required to be disclosed by a court of law.

12. Confidentiality

13.1 We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause that is beyond our reasonable control.

13.2 This User Agreement shall be governed and interpreted in accordance with English law and the English courts shall have exclusive jurisdiction in relation thereto.

13.3 If any part of the terms of this User Agreement is unenforceable, the enforceability of any other part of these conditions will not be affected.

13.4 This User Agreement contains the entire agreement between us relating to the subject matter covered and supersedes any previous agreements. Save for fraud or fraudulent misrepresentation, we shall have no liability for any representation being untrue or misleading.

13.5 We shall be entitled to assign, transfer or sub-contract this User Agreement to a third party. This User Agreement is personal to each Subscriber and Subscribers shall not be entitled to assign this User Agreement.

13.6 In the event of a sale, transfer, reorganisation or other disposal of The A List, in whole or in part, your details may form part of the transferred business assets.

13.7 A waiver by us of any terms of this User Agreement in a particular instance shall not be deemed a waiver of such term for the future.

13.8 No third party shall be deemed under the User Agreement to have enforceable rights by virtue of the Contracts (Rights of Third Parties Act) 1999.

13.9 This User Agreement shall not constitute a partnership, agency or joint venture between Talented People TV Ltd and any Subscriber.
